Billing Terms and Conditions

1 Introduction

Welcome to Cloprod.com ("Cloprod," "we," "us," or "our"). These Billing Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Shenzhen Cloprod Technology Co., Ltd. governing all billing, payment, and financial transactions related to your use of the Cloprod platform and services.

By creating an account, placing an order, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

2 Definitions

• "Platform" refers to the Cloprod website (cloprod.com), applications, and all related services.
• "Services" refers to Cloprod's print-on-demand, custom apparel production, order fulfillment, and global shipping services.
• "Products" refers to any custom-printed or manufactured goods produced through the Cloprod platform.
• "Merchant" refers to a user who utilizes Cloprod's services to fulfill and ship products to third-party customers.
• "Customer" refers to the end consumer who purchases products from a Merchant.
• "Order" refers to any request submitted through the Platform for the production and/or shipment of Products.

3 Account Registration and Billing Information

3.1 To access and use Cloprod's services, you must create an account and provide accurate, complete, and current billing information, including a valid payment method.

3.2 You agree that all registration and billing information you provide to Cloprod will be accurate, correct, and kept up to date at all times.

3.3 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.4 Cloprod reserves the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or fraudulent.

4 Pricing and Fees

4.1 Product Pricing. Product prices listed on the Platform include the base cost of manufacturing and printing. Prices are subject to change without prior notice. The applicable price shall be the price displayed at the time the order is placed.

4.2 Shipping Fees. Shipping costs are calculated separately based on the destination, shipping method, package weight, and dimensions. Shipping fees are displayed at checkout prior to order confirmation.

4.3 Taxes and Duties. You are responsible for all applicable taxes, customs duties, import fees, and other governmental charges associated with the purchase, shipment, and delivery of Products. Cloprod does not collect or remit sales tax on your behalf unless explicitly stated.

4.5 Price Adjustments. Cloprod reserves the right to modify product pricing, shipping rates, and fee structures at any time. Any changes will apply to orders placed after the effective date of the change and will not affect previously confirmed orders.

5 Payment Methods

5.1 Cloprod accepts the following payment methods:

• Major credit and debit cards (Visa, Mastercard, American Express, etc.)
• PayPal
• Other payment methods as made available on the Platform from time to time

5.2 All payments are processed through PCI DSS-compliant third-party payment processors. Cloprod does not directly store your full credit card or payment details.

5.3 You authorize Cloprod to charge your selected payment method for all orders placed, including product costs, shipping fees, applicable taxes, and any other charges disclosed at checkout.

5.4 All transactions are processed in US Dollars (USD) unless otherwise indicated. Currency conversion fees, if applicable, are the responsibility of the User and are determined by your payment provider or financial institution.

6 Order Billing and Charges

6.1 When You Are Charged. Payment is collected at the time an order is submitted and confirmed on the Platform. Orders will not be processed until payment is successfully received.

6.2 Order Confirmation. Upon successful payment, you will receive an order confirmation via email containing order details and a transaction reference number.

6.3 Failed Payments. If a payment fails or is declined, the order will not be processed. You will be notified and may retry with a valid payment method. Cloprod is not responsible for any delays resulting from payment failures.

6.4 Billing Breakdown. Each order charge includes:

• Product Cost — The manufacturing and printing cost of the item(s).
• Shipping Cost — The delivery fee based on destination and shipping method.
• Taxes (if applicable) — Any sales tax or VAT collected where legally required.

6.5 You can review a complete breakdown of all charges in your Cloprod account dashboard under the Orders & Billing section.

7 Refund and Cancellation Policy

7.1 Order Cancellation. You may cancel an order within 2 hours of placement, provided the order has not yet entered production. Once production has begun, cancellation is no longer possible, as all products are custom-made on demand.

7.2 Defective or Damaged Products. If you or your customer receives a product that is defective, damaged during production, or materially different from the order specifications, Cloprod will, at its sole discretion:

• Reprint and reship the product at no additional cost; or
• Issue a full refund for the affected item(s).

Claims for defective or damaged products must be submitted within 30 days of product delivery, accompanied by photographic evidence and the order number.

7.3 Non-Refundable Situations. Refunds will not be issued in the following circumstances:

• Orders placed with incorrect shipping addresses provided by the User;
• Products that do not meet expectations due to design files or images uploaded by the User (e.g., low-resolution images, incorrect color profiles);
• Products ordered in the wrong size, color, or quantity by the User;
• Delivery delays caused by shipping carriers, customs, or force majeure events;
• Change of mind after the order has entered production.

7.4 Shipping Damage. For products damaged during transit, the User must provide photographic evidence within 7 days of delivery. Cloprod will work with the shipping carrier to resolve the claim and may offer a reshipment or refund at its discretion.

7.5 Refund Processing. Approved refunds will be credited to the original payment method within 5–10 business days, depending on your payment provider.

8 Billing Disputes

8.1 If you believe there is an error or unauthorized charge on your account, you must notify Cloprod in writing within 14 days of the transaction date by contacting us at support@cloprod.com.

8.2 Cloprod will investigate all billing disputes in good faith and respond within 5 business days. If a billing error is confirmed, Cloprod will issue a correction or refund as appropriate.

8.3 Failure to notify Cloprod of a billing dispute within the specified timeframe may result in the dispute being deemed waived.

9 Intellectual Property

9.1 You retain all rights, title, and interest in any designs, artwork, logos, and intellectual property you upload to the Cloprod platform.

9.2 You represent and warrant that all content you upload does not infringe upon the intellectual property rights, copyrights, trademarks, or other proprietary rights of any third party.

9.3 Cloprod assumes no liability for any intellectual property infringement arising from content submitted by Users. You agree to indemnify and hold Cloprod harmless from any claims, damages, or expenses arising from your content.

10 Limitation of Liability

10.1 To the maximum extent permitted by applicable law, Cloprod's total liability for any claim arising out of or relating to these Terms or the use of our services shall not exceed the total amount paid by you for the specific order giving rise to the claim.

10.2 Cloprod shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

10.3 Cloprod is not responsible for any losses or damages arising from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, wars, government actions, carrier delays, customs holds, or technical failures.

11 Indemnification

You agree to defend, indemnify, and hold harmless Cloprod, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform and Services;
• Your breach of these Terms;
• Your violation of any applicable law or regulation;
• Any content or designs you upload to the Platform;
• Any dispute between you and your customers.

12 Modifications to These Terms

12.1 Cloprod reserves the right to update, amend, or modify these Billing Terms and Conditions at any time at its sole discretion.

12.2 Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the modified Terms.

12.3 We encourage you to review these Terms periodically to stay informed of any updates.

13 Governing Law and Dispute Resolution

13.1 These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.

13.2 Any disputes arising out of or in connection with these Terms shall first be resolved through good-faith negotiation between the parties.

13.3 If a dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to the Shenzhen Court of International Arbitration (SCIA) for binding arbitration in Shenzhen, China.

13.4 The language of arbitration shall be English and/or Chinese, as mutually agreed by the parties.

14 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15 Entire Agreement

These Terms, together with Cloprod's Privacy Policy, Shipping Policy, Return Policy, and any other policies referenced herein, constitute the entire agreement between you and Cloprod with respect to billing and payment matters and supersede all prior agreements, understandings, and representations.
